SaaS Platform Agreement

This Terms of Service agreement ("Agreement") governs your use of the Nova Wealth Path SaaS platform ("Platform," "Service") provided by Nova Wealth Creations, LLC ("Company," "we," "us").

Nova Wealth Path Platform

Nova Wealth Path is a Software-as-a-Service (SaaS) financial management platform offering:

• Goal Setting: Financial goal creation and progress tracking
• Reporting: Financial reports and analytics
• Data Integration: Bank and account connection capabilities

Subscription Tiers

• Starter: Free tier with basic features
• Growth: Personal financial management tools
• Business: Business financial management features
• Enterprise: Advanced portfolio and business tools

Subscription Terms and Billing

Subscription Plans

• Free Tier (Starter): No payment required, limited features
• Paid Tiers: Monthly or annual billing options available
• Automatic Renewal: Subscriptions renew automatically unless cancelled
• Plan Changes: Both upgrades and downgrades are prorated with immediate effect
  • Upgrades: You're charged the prorated difference for the remainder of your billing period
  • Downgrades: You receive a prorated credit applied to your next invoice
  • Changes apply immediately upon confirmation

Billing and Payment

We accept payments through Stripe and other PCI-compliant payment processors. All payments are securely processed by third-party providers, and we do not store complete payment information.

By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our processors to charge the total amount due. Orders may be canceled or suspended if payment fails.

• Payment due in advance for subscription periods
• Automatic billing on renewal date unless cancelled
• Payment methods: Credit card, debit card, or other approved methods
• Failed payments may result in service suspension
• All fees are non-refundable except as required by law

By submitting payment through any of these services, you acknowledge and agree that your transaction is governed by the applicable terms, conditions, and privacy policies of the respective payment processor, and you should review those policies for details regarding your rights and obligations.

Billing Notifications: We will send email notifications before billing and provide receipts after successful payments. You can view billing history in your account dashboard.

Price Changes

• We may change subscription prices with 30 days advance notice
• Price changes apply to new billing cycles, not current subscriptions
• You may cancel before price changes take effect
• Grandfathered pricing may be available for existing subscribers

Cancellation and Refund Policy

Easy Cancellation

• Cancel anytime through your account settings
• Contact support at support@novawealthpath.com for assistance
• Cancellation takes effect at the end of your current billing period
• You retain access to paid features until the end of your billing period
• No cancellation fees or penalties

Refund Policy

• 7-Day Trial Period: Full refund available within 7 days of first paid subscription
• Service Issues: Refunds considered for significant service outages or technical problems
• Billing Errors: Immediate refund for incorrect charges or billing mistakes
• Plan Changes: Downgrades receive prorated credits (applied to future invoices), not cash refunds
• No Partial Refunds: No cash refunds for partial billing periods after the 7-day trial period
• Processing Time: Refunds processed within 5-10 business days

User Responsibilities and Account Security

Account Management

• Provide accurate registration information and keep it updated
• Maintain confidentiality of your login credentials
• Use strong passwords and enable two-factor authentication when available
• Notify us immediately of any unauthorized account access
• You are responsible for all activity under your account

Data Responsibility

• You are responsible for the accuracy of financial data you input
• Regularly backup important financial information
• Review and verify all data before making financial decisions
• Ensure you have rights to any data you upload to the platform

Service Availability and Platform Changes

Platform Availability

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• Emergency maintenance may occur without advance notice
• Service credits may be provided for significant outages

Platform Updates and Changes

• We regularly update the platform with new features and improvements
• Minor updates and bug fixes may occur without notice
• Major feature changes will be communicated to users
• We may discontinue features with reasonable advance notice
• Legacy features may be phased out with migration assistance

Data Protection and Privacy

Your privacy and data security are important to us. Our collection and use of personal and financial information is governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Account Termination

Your Right to Terminate

• Cancel subscription anytime through account settings
• Request complete account deletion
• Export your data before account closure
• No termination fees or penalties

Our Right to Terminate

• Suspend accounts for terms violations or non-payment
• Terminate accounts for illegal activity or abuse
• Discontinue service with reasonable advance notice
• Provide data export opportunities before termination when possible

User Eligibility

By using the Nova Wealth Path platform, you represent and warrant that:

• You are at least eighteen (18) years of age
• You are of sound mind and have the legal capacity to enter into and uphold the terms of this Agreement
• If you are using the Platform on behalf of a business entity or other third party, you have the express authority to act as an agent of that entity and, as a component of that agency, you have the right and ability to agree to these Terms on behalf of that entity
• You are not prohibited from entering into this Agreement by the terms of any preexisting agreement or legal restriction

Governance of Other Policies

These Terms govern your access to and use of the Platform and apply generally to all features, content, and services made available through the Platform. Certain features or activities may also be subject to additional guidelines, policies, or notices published by the Company from time to time, including without limitation the Privacy Policy, Accessibility Statement, and any other supplemental terms or policies (collectively, the "Policies"), all of which are incorporated into these Terms by reference.

Unless expressly stated otherwise, these Terms control and prevail in the event of any conflict between these Terms and any Policy. Without limiting the foregoing, all Policies are subject to and governed by the provisions of these Terms, including without limitation the governing law, dispute resolution and arbitration, class action waiver, limitations of liability, and indemnification provisions set forth herein.

Your continued use of the Platform constitutes your acceptance of these Terms and all applicable Policies, as updated from time to time.

Intellectual Property Rights

Content Ownership

All content, features, functionality, designs, text, graphics, logos, images, audio, video, software, and other materials on the Platform (collectively, "Content") are the exclusive property of the Company or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Except as expressly authorized by these Terms, you may not copy, reproduce, distribute, modify, create derivative works of, publicly display, perform, or otherwise use any Content for commercial or non-personal purposes. You may access and use the Content solely for your personal, non-commercial use and in accordance with these Terms.

All trademarks, service marks, and logos appearing on the Platform are the property of the Company or its licensors, and no right, title, or interest in any trademark, service mark, or logo is granted to you. Nothing in these Terms shall be construed as granting any license or right to use any of the Company's or its licensors' intellectual property, except as expressly stated herein.

Limited License

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform, create an account, and use the tools, services, and Content made available through the Platform solely for your personal, non-commercial purposes.

This license does not grant you any ownership rights in the Platform or its Content. The Company may suspend or terminate this license and your access to the Platform, in whole or in part, immediately and without notice if you violate these Terms, misuse the Platform or its services, or engage in conduct that the Company believes may harm the Platform, its users, or its business.

All rights not expressly granted to you under these Terms are reserved by the Company.

Geographic Access Restrictions

Service Territory

All Nova Wealth Path SaaS platform services, including account registration, subscription management, and platform access, are provided exclusively within the territorial boundaries of the United States.

Access Control

We employ automated geographic detection systems to verify user location. Users attempting to access the platform from outside the United States will be automatically denied access and redirected to a geographic restriction notice.

Account and Subscription Implications

Geographic restrictions affect platform access in the following ways:

• Account registration requires US-based location verification
• Platform access is subject to ongoing geographic verification
• Subscription billing is processed through US-based payment systems
• Customer support services are provided under US jurisdiction

Compliance Framework

These geographic restrictions ensure compliance with US financial service regulations, data protection laws, and our operational licensing requirements. Access determinations are made through automated geographic detection systems as part of our regulatory compliance and security framework.

Governing Law and Dispute Resolution

Choice of Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of the Platform (whether based in contract, tort, statute, or otherwise) will be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles.

Arbitration; Waiver of Jury Trial and Class Actions

Except for claims that may be brought in small claims court or requests for temporary or preliminary injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and you and the Company waive any right to a jury trial or to participate in a class, collective, or representative action.

Arbitration will take place in your county of residence or remotely at your election. The Company will pay all arbitration filing, administrative, and arbitrator fees required under the applicable consumer rules (other than any filing fee you would be required to pay if the claim were brought in court). Each party will bear its own attorneys' fees unless otherwise awarded under applicable law.

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by providing written notice to the Company at the address listed below. If any portion of this provision is found unenforceable, the remaining portions will remain in effect, except that if the class action waiver is deemed unenforceable, this arbitration provision shall not apply to that claim.

Class Action Waiver

ANY DISPUTE RESOLUTION PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF SERVICES THROUGH AND/OR OFFERED BY THE PLATFORM, WHETHER IN ARBITRATION OR OTHERWISE, SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION, AND YOU AND THE COMPANY EXPRESSLY AGREE THAT CLASS ACTION AND REPRESENTATIVE ACTION PROCEDURES SHALL NOT BE ASSERTED IN OR APPLY TO ANY ARBITRATION PURSUANT TO THESE TERMS.

Initial Resolution Process

Before initiating arbitration or any legal proceeding, we encourage you to contact our platform support at support@novawealthpath.com to resolve issues informally. We aim to respond to all support requests within 24 hours during business days.

Miscellaneous

Severability

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent, but the Company may assign or transfer its rights or obligations without restriction.

Entire Agreement

These Terms, together with all Policies referenced herein, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements or understandings, written or oral.

No Waiver

The Company's failure to enforce any provision of these Terms shall not constitute a waiver of its rights.

Force Majeure

The Company will not be liable or responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, strikes, or internet disruptions.

Survival

The provisions of these Terms that by their nature should survive termination or expiration, including without limitation Intellectual Property, Warranty Disclaimers, Limitation of Liability, Indemnification, and Governing Law provisions, shall survive any termination of your use of the Platform.
